Terms of Service

This is a first-draft starting point, not legal advice, and has not been reviewed by a lawyer. Have a licensed attorney in your state review and, where needed, revise this document — especially the payroll/wage disclaimer and limitation-of-liability sections — before relying on it for a paid product that calculates real wages.

1. Agreement to Terms

These Terms of Service ("Terms") are an agreement between you (and the company you represent, "you," "your," or "Customer") and Easy P4P ("Easy P4P," "we," "us," or "our") governing your access to and use of the Easy P4P application, including any related websites, APIs, and services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise using the Service, you accept these Terms on behalf of yourself and, if applicable, your company. If you do not agree, do not use the Service.

2. What the Service Does

The Service helps service-based businesses track crew job/hours data (imported from your own CRM or field-service software, or entered manually) and calculates pay-for-performance ("P4P") compensation, payroll summaries, and related company KPIs based on formulas, rates, and settings that you — the Customer — configure. The Service is a calculation and reporting tool. It does not remit payroll, withhold or file taxes, or act as your payroll processor, employer of record, or accountant.

3. Your Account and Company

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account and for maintaining accurate pay rates, bonus rules, overtime settings, and employee data within your company's workspace. Each customer's data is logically separated from every other customer's; you are responsible only for your own company's data and configuration.

4. Subscriptions, Trials, and Billing

New accounts begin with a free trial period. Continued use after the trial requires an active paid subscription on one of our published plan tiers, billed in advance on a recurring (monthly, unless stated otherwise) basis through our payment processor (Stripe). Fees are non-refundable except as required by law or as we expressly state in writing. If a payment fails or your subscription lapses, we may place your account into a read-only mode — your historical data remains viewable, but you will not be able to create or edit records — until payment is resolved. You may cancel at any time; cancellation takes effect at the end of your current billing period.

5. Your Data and Employee Information

You retain ownership of the data you input or import into the Service, including employee names, job/timekeeping records, pay rates, and related information ("Your Data"). You represent that you have the right to submit Your Data to the Service, including any necessary consent from your employees for its processing, and that doing so complies with applicable law. We process Your Data to provide the Service to you, as described in our Privacy Policy.

6. Your Responsibility for Pay Structure and Compliance

You, not Easy P4P, are responsible for ensuring that your pay structure, bonus formulas, and wage calculations comply with all applicable federal, state, and local law — including minimum wage guarantees, overtime rules, and any requirements specific to performance-based or commission-style pay. The Service performs calculations based on the rates, formulas, and settings you configure; it does not independently verify that those settings are lawful for your jurisdiction, industry, or workforce. We strongly recommend you consult a qualified employment attorney or accountant when setting up your pay rules and before running real payroll based on the Service's output.

7. Acceptable Use

You agree not to: use the Service to store or process data you don't have the right to use; attempt to access another customer's data or bypass account/tenant isolation; reverse engineer or resell the Service without our written permission; or use the Service in a way that violates applicable law.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CALCULATIONS PRODUCED BY THE SERVICE WILL BE ERROR-FREE OR THAT THEY SATISFY ANY PARTICULAR LEGAL REQUIREMENT APPLICABLE TO YOUR BUSINESS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASY P4P AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR WAGES PAID OR WITHHELD IN RELIANCE ON THE SERVICE'S OUTPUT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. NOTHING IN THIS SECTION LIMITS LIABILITY WHERE PROHIBITED BY LAW.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms, don't pay applicable fees, or pose a security risk to the Service or other customers. On termination, we will make your data available for export for a reasonable period as described in our data retention practices, after which it may be deleted.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
